A settlement agreement (vaststellingsovereenkomst) is a contract by which parties fix what applies between them, to end or prevent uncertainty or a dispute. Under Article 7:900 of the Dutch Civil Code (BW) it binds even if the agreed position differs from the legal position that existed before; it can only be set aside on narrow grounds such as deceit, threat or abuse of circumstances.
Once signed, you cannot go back and argue about who was right. This article explains how the instrument works across Dutch civil law, when it can still be challenged and how to draft one that actually closes the file. What makes a settlement agreement different from an ordinary contract?
The parties themselves determine what applies, instead of leaving that to the law or a court. Under Article 7:900(2) BW that determination can be made jointly, by one party or by a third party appointed for the purpose.
The determination replaces the legal position that would otherwise apply. Each party is bound even if it later turns out that the original claim never existed or was worth far more.
Article 7:902 BW goes further: a settlement of uncertainty or a dispute about property-law matters remains valid even if it conflicts with mandatory law, unless its content or purpose violates good morals or public policy. Parties can therefore settle on a basis a court would never have imposed, and the usual safety net of mandatory law does not catch you.
There is no general form requirement; a settlement can be reached orally or by e-mail, and courts regularly hold parties to settlements agreed in correspondence between advisers. Two exceptions matter. An agreement terminating an employment contract must be in writing under Article 7:670b(1) BW, and a settlement recorded in a notarial deed is directly enforceable, while an ordinary written agreement is not.
Can you still get out of a signed settlement?
Only in limited cases. A claim of mistake (dwaling) under Article 6:228 BW usually fails, because ending uncertainty is the whole point and the risk of a wrong assumption is what you accepted.
Defects of will caused by the other party remain available. Under Article 3:44 BW a settlement obtained through threat, deceit or abuse of circumstances is voidable, for example if documents the other side had to disclose were concealed. A settlement that violates good morals or public policy can also be set aside.
Where the determination was left to one party or to a third party, such as a binding advice (bindend advies), Article 7:904 BW makes the decision voidable if being bound by it would be unacceptable by standards of reasonableness and fairness, because of its content or the way it was reached. The choice of expert and the procedure therefore matter more than parties usually expect.
Finally, if a party does not perform, the other can claim performance, damages or termination for breach. Termination revives the original dispute, so a payment schedule with an acceleration clause and security is usually the better answer.
What does a full and final discharge (finale kwijting) cover?
Not automatically everything. Dutch courts interpret the clause using the Haviltex standard (Supreme Court 13 March 1981, ECLI:NL:HR:1981:AG4158): what the parties could reasonably understand from each other’s statements and conduct in the circumstances, not just the literal wording.
A phrase such as “all claims, known and unknown” therefore does not necessarily cover a claim neither party had in mind. If you want real finality, describe what is settled, state expressly that unknown claims are included, name the legal relationships covered and list everyone who benefits, since group companies, directors and insurers are not automatically included. If you want to preserve something, carve it out explicitly: accrued pension rights, claims against third parties and the right to enforce the settlement itself.
Where is the settlement agreement used in practice?
Wherever a dispute is cheaper to close than to litigate. In commercial matters it ends disputes about defective delivery, unpaid invoices or a failed cooperation, often with a payment schedule and confidentiality clause. In construction and professional liability it fixes each party’s contribution and the role of insurers. In inheritance matters it closes a disputed division of an estate.
In family law, the divorce covenant (echtscheidingsconvenant) is a settlement agreement in the sense of Article 7:900 BW. Under Article 1:159 BW parties can agree in writing that spousal maintenance cannot be changed by the court; that clause only yields to a change of circumstances so drastic that holding a party to it would be unacceptable. Agreements on child maintenance remain open to review. Our luchd-lagha teaghlaich draft and review these covenants.
A settlement with a public body is also possible. The Dutch Tax Administration (Belastingdienst) concludes settlement agreements on the qualification of facts, which bind under civil law. We do not advise on the tax merits, but we do assess what you are legally committing to.
What are the special rules for an employment settlement?
Ending an employment contract by mutual consent is the most common use, and the rules are strictest. Under Article 7:670b BW the agreement must be in writing, and the employee may dissolve it in writing without giving reasons within fourteen days; if the agreement does not mention that right, the period is three weeks.
The wording also matters for the Employee Insurance Agency (UWV), which decides on unemployment benefit (WW). UWV looks at who took the initiative, whether the employee is at fault and whether the notice period was observed. The statutory transition payment (transitievergoeding) is not automatically due on termination by agreement, so it serves as a negotiating benchmark. What should a workable settlement agreement contain?
It must identify the parties precisely, describe the dispute being settled and state what each party must do, by when and how. The description of the dispute determines how far the discharge reaches.
- Scope of discharge: which claims are settled, whether unknown claims are included and what is carved out.
- Dìomhaireachd: what may be said and to whom, with an exception for disclosure required by law or a regulator.
- Bunaiteach: interest, acceleration of instalments, a penalty clause where appropriate, and whether the agreement can be terminated for breach.
- Law and forum: Dutch law, a named court or arbitral institution, and a prevailing-language clause if bilingual.
- Co-èigneachadh: a notarial deed or, in pending proceedings, a settlement recorded by the court gives an enforceable title immediately.
Which mistakes do we see most often?
Five errors cause most second rounds of litigation.
- Settling with the wrong party: a discharge granted to a company does not release its director, and one granted by a company does not bind its insurer.
- A discharge that is too wide or too narrow because a template clause was pasted in.
- No deadline, or performance that depends on a further agreement.
- Signing under pressure at the end of a mediation day; proving abuse of circumstances under Article 3:44 BW afterwards is far harder than taking a night to read the document.
- Overlooking effects outside the dispute, such as a residence permit, insurance cover, bank covenant or subsidy condition. See dè a bu chòir dhut a sgrùdadh mus cuir thu ainm ri cùmhnant.
What should you check as the party making the payment?
- Does the discharge cover all claims you want closed, including unknown claims?
- Are your group companies, directors and insurers named as released parties?
- Is the confidentiality clause backed by a proportionate penalty?
- Is the payment conditional on the other party’s performance, for example withdrawal of proceedings?
- In an employment case, has the fourteen-day reflection period passed before you pay?
What should you check as the party receiving payment?
- Are the amount, the due date and the payment method stated precisely?
- Is there an acceleration clause, interest or security if the other side does not pay?
- Have you carved out what you want to keep, such as pension rights or claims against third parties?
- Is a notarial deed or court record needed to obtain an enforceable title?
- In an employment case, is the wording WW-safe and is the notice period respected?

- Only an employment settlement has a statutory fourteen-day reflection period (Article 7:670b BW).
Ceistean Àbhaisteach
Does a Dutch settlement agreement have to be in writing?
Generally not; it can be concluded orally or by e-mail. An agreement ending an employment contract must be in writing under Article 7:670b BW, and a written form is always advisable for proof.
Can I withdraw from a settlement agreement after signing?
Only an employee who ends an employment contract by agreement has a statutory right to dissolve it, within fourteen days (three weeks if the right is not mentioned). Other settlements can only be annulled on narrow grounds such as threat, deceit or abuse of circumstances.
Does finale kwijting cover claims I did not know about?
Not automatically. Courts interpret the clause by what the parties could reasonably expect (Haviltex). State expressly whether unknown claims are included and which claims are carved out.
Is a settlement agreement directly enforceable?
An ordinary written settlement is not: if the other party does not perform, you still need a court judgment. A notarial deed or a settlement recorded by the court in pending proceedings gives an enforceable title.
Can a settlement agreement deviate from mandatory law?
Yes, for property-law matters. Under Article 7:902 BW it remains valid even if it conflicts with mandatory law, unless its content or purpose violates good morals or public policy.
